This Monday, Amper closed the first round of the preferential subscription period for its capital increase of up to 31 million euros with the fulfillment of the commitments assumed by several shareholders to subscribe for new shares.

Specifically, the company has informed the National Securities Market Commission (CNMV) that its shareholders Zelenza, Jomar e Hijos, Globalincome and the Heritage fund have fulfilled the commitments they assumed to subscribe, respectively, 7.91%, 5.35%, 2.2% and 1.42% of the capital increase in this first round, which together represents 16.88% of the total new shares issued.

Amper also recalled that, facing the second round and assuming the existence of surplus shares, Zelenza and Globalincome would subscribe to around 8% and 1.4% of the capital increase by virtue of their respective commitments.

Additionally, in a third and final round, Zelenza would subscribe another 14% of the capital increase, while the Amper management committee, if there are excess shares, will subscribe 1% of the capital increase.

In this way, the total commitments to subscribe for new shares represent approximately 41.28% of the capital increase of up to 31 million euros launched by the company.

As explained by Amper in the first weeks of November, this capital increase will be used to reduce the group's debt between 40% and 60%. Amper's net financial debt at the end of June 2023 stood at 111 million euros, including bank and non-bank financial debt.

The funds obtained from this capital increase will also be used to reinforce the group's liquidity by between 10% and 20% and to finance between 5% and 15% of the company's "organic growth opportunities."

In this sense, Amper wants to strengthen its capital structure to achieve the objectives of its 2023-2026 strategic plan, with which it estimates to achieve sales of 1,000 million euros and a gross operating profit (Ebitda) of 120 million euros per year. end of that period.

All of this with a view to "building the leading Spanish business group in strategic technological, industrial and engineering capabilities in the defense and security, energy and sustainability and telecommunications sectors," according to the company.

Amper's capital increase involves the putting into circulation of 388 million new shares at 0.08 euros per share, a price of which 0.05 euros correspond to their nominal value and 0.03 euros to the share premium. .

In case of full subscription, the new shares will represent 26% of the group's share capital.

December 4 will be the date of disbursement and registration of the new shares in the accounting records of Iberclear (BME Growth) and December 6 will be the first day of trading of the company's new shares.
